Who has to file a Pennsylvania Annual Report?

Most active domestic and foreign filing associations registered with the Pennsylvania Department of State: business corporations, nonprofit corporations, LLCs, limited partnerships, limited liability partnerships, business trusts and professional associations. General partnerships that are not LLPs, fictitious names, authorities, land banks, credit unions and financial institutions do not file.

When is the Pennsylvania Annual Report due?

Corporations (business and nonprofit): January 1 – June 30. LLCs: January 1 – September 30. Limited partnerships, LLPs, business trusts, professional associations and other covered associations: January 1 – December 31. A company’s first report is due the year after it forms or registers in Pennsylvania.

How much does it cost?

Pennsylvania charges $7 for for-profit associations and $0 for nonprofit corporations and LLCs or LPs with a not-for-profit purpose. Our service is $49 total for a standard for-profit filing — $42 for our work plus the $7 state fee. For a $0-fee association you pay only our $42.

Is there a late fee?

No. Pennsylvania says there is no state late fee for filing past the deadline. Starting with Annual Reports due in 2027, an association that does not file can be administratively dissolved, cancelled or terminated six months after its deadline.
